This page contains the Privacy Policy and Terms & Conditions applicable to the NECROS Studio website and certain interactions with NECROS Studio.

NECROS Studio operates under NECROS Holdings from 47/26/1, Aruppola Road, Watapuluwa, Kandy, Sri Lanka.

For the purposes of this document, references to “NECROS Studio,” “NECROS,” “we,” “us,” or “our” refer to NECROS Studio and, where applicable, NECROS Holdings.

Project-specific services may be governed by a separate proposal, quotation, Client Agreement, Statement of Work, Pricing Document or other written agreement.

Where a project-specific written agreement conflicts with these general website Terms, the project-specific agreement will govern in relation to that project.

16. Automated Decision-Making

NECROS Studio does not intend to make significant decisions about website visitors solely through automated processing unless specifically disclosed.

If automated decision-making or profiling that significantly affects individuals is introduced in the future, appropriate information and safeguards will be provided where required by applicable law.

17. Children's Privacy

The NECROS Studio website and general services are not directed toward children under the age of sixteen.

We do not knowingly seek to collect personal information from children through general website forms.

These Terms & Conditions govern access to and use of the NECROS Studio website and certain interactions with NECROS Studio.

Specific projects are governed by their applicable project agreements.

1. Acceptance of Terms

By accessing or using this website, you agree to these Terms & Conditions.

If you do not agree with these Terms, you should discontinue use of the website.

Your use of the website may also be subject to applicable laws and regulations.

  • UI/UX design
  • Branding
  • Graphic design
  • Motion design and video
  • Creative direction
  • AI and automation
  • Creative technology
  • Digital solutions
  • Other related services

The services available may change over time and may differ between projects.

3. Website Information Does Not Create a Client Relationship

Browsing this website, sending an enquiry, submitting a form, requesting a quotation or discussing a potential project does not by itself create:

  • A binding client relationship
  • A contractual obligation
  • An obligation for NECROS Studio to accept work
  • An exclusive relationship
  • A confidentiality or non-disclosure agreement

A project relationship is created only when the relevant parties enter into an appropriate agreement or otherwise provide clear written acceptance in a manner recognized by NECROS Studio.

4. Project Agreements

Projects may be governed by one or more documents, including:

  • Client Agreements
  • Proposals
  • Statements of Work
  • Quotations
  • Pricing Documents
  • Change Orders
  • Invoices
  • Written project confirmations

Project documents may establish:

  • Scope
  • Deliverables
  • Pricing
  • Deposits
  • Payment schedules
  • Timelines
  • Revision limits
  • Acceptance procedures
  • Intellectual-property rights
  • Third-party costs
  • Support obligations
  • Cancellation rights
  • Confidentiality
  • Other commercial terms

If a project-specific written agreement conflicts with these general Terms, the project-specific agreement takes precedence in relation to that project.

5. Quotations, Pricing and Availability

Website descriptions, estimated prices, examples and service information are general information only unless expressly stated otherwise.

They do not constitute a guaranteed quotation or binding offer.

Final scope, availability, pricing and timelines may depend on:

  • Project requirements
  • Complexity
  • Client-provided materials
  • Required integrations
  • Third-party services
  • Project timing
  • Resource availability
  • Revisions
  • Additional requests

A project will be governed by the pricing and commercial terms agreed for that specific engagement.

6. Website Use

You agree not to:

  • Attempt unauthorized access to the website, servers, accounts or systems
  • Circumvent authentication or security controls
  • Probe, scan or test vulnerabilities without written authorization
  • Introduce malware, malicious code or harmful content
  • Interfere with website availability or operation
  • Conduct denial-of-service activity
  • Abuse contact or enquiry forms
  • Submit intentionally false or misleading information
  • Impersonate NECROS Studio or another person
  • Attempt to obtain information through unauthorized means
  • Use automated scraping or extraction systems without permission where authorization is legally required
  • Copy protected website content for unauthorized commercial use
  • Use the website for fraudulent or unlawful activity
  • Violate applicable laws or third-party rights

We may restrict or block access where reasonably necessary to protect the website, our infrastructure, our users or our legal rights.

7. Responsible Security Reporting

If you believe you have identified a genuine security vulnerability affecting the NECROS Studio website or systems, please report it responsibly rather than exploiting it, accessing unnecessary information or disrupting services.

Security concerns may be sent to: support@necros.co

Authorization to perform security testing must be obtained separately in writing.

8. Intellectual Property

Unless otherwise stated, original website content created by NECROS Studio—including website design, layouts, graphics, written content, visual systems, animations, code and other original materials—is owned by NECROS Studio, NECROS Holdings or the relevant rights holder.

Third-party:

  • Logos
  • Trademarks
  • Brand names
  • Client materials
  • Fonts
  • Stock assets
  • Software
  • Libraries
  • Open-source components

remain subject to the rights and licenses of their respective owners.

Nothing on this website grants an implied license to reproduce, distribute, modify, sell or commercially exploit protected NECROS Studio materials.

9. Client Materials and Submitted Content

You retain any rights you lawfully hold in materials you submit to NECROS Studio.

By submitting materials for an enquiry or project, you authorize NECROS Studio to access, review, process, reproduce or otherwise use those materials to the extent reasonably necessary to:

  • Evaluate your enquiry
  • Prepare a proposal
  • Communicate with you
  • Perform an agreed project
  • Provide requested services

You represent that you have the necessary authority to provide materials submitted to NECROS Studio.

Project-specific responsibility for client-provided materials may be further defined by the applicable project agreement.

10. Client Work and Project Ownership

Ownership, copyright, licensing and usage rights relating to client projects are governed by the applicable project agreement.

Unless a written project agreement states otherwise, website Terms should not be interpreted as transferring ownership of project deliverables.

Where a project agreement provides that ownership transfers after full payment, ownership will not transfer until the required payment obligations have been satisfied.

11. NECROS Studio Background Materials

A client project may incorporate or rely on tools, development methods, systems, templates, reusable components, libraries, know-how, workflows or other materials developed independently of that project.

Unless a project agreement expressly states otherwise, NECROS Studio retains ownership of its pre-existing materials, general knowledge, reusable components, development techniques and internal tools.

Where necessary, the Client may receive an appropriate license to elements incorporated into the final deliverable.

12. Third-Party Materials and Services

Projects may rely on third-party:

  • Software
  • Plugins
  • APIs
  • Hosting services
  • Platforms
  • Fonts
  • Stock photography
  • Stock video
  • Music
  • Libraries
  • Open-source software
  • Payment providers
  • AI services
  • Other external technology

Third-party materials may be subject to separate terms, licenses, fees, subscriptions, restrictions or availability conditions.

NECROS Studio cannot control future changes made by independent third-party providers.

Project-specific responsibilities for third-party fees and licenses should be identified in the relevant project agreement.

13. AI-Assisted Work

NECROS Studio may use artificial-intelligence-assisted tools as part of certain creative, research, development or automation workflows.

Where relevant to a client project, the applicable project agreement may address:

  • Whether AI tools may be used
  • Client restrictions relating to confidential material
  • Ownership and licensing considerations
  • Third-party AI provider terms
  • Human review requirements
  • Limitations relating to generated material

AI-assisted output may be subject to legal, technical or licensing considerations that differ from fully human-created material.

NECROS Studio may review, modify or integrate AI-assisted output into broader human-directed creative or technical work.

14. Portfolio and Publicity Rights

Any right of NECROS Studio to display completed client work in:

  • Portfolios
  • Case studies
  • Social-media posts
  • Award submissions
  • Marketing materials

will be governed by the applicable project agreement or other authorization.

Confidential or unreleased client materials will remain subject to any applicable confidentiality obligations.

15. Payments

Project payment terms are established through the relevant project agreement, proposal, pricing document or invoice.

NECROS Studio may require:

  • Deposits
  • Milestone payments
  • Final payments
  • Reimbursement of approved third-party expenses

before commencing, continuing or delivering certain project work.

Unless otherwise stated in the relevant project agreement, final project files or access credentials may be withheld until outstanding amounts are paid.

16. Project Changes and Additional Work

Requests outside an agreed project scope may constitute additional work.

Additional work may:

  • Require a new quotation
  • Require written approval
  • Increase project fees
  • Extend project timelines
  • Affect previously agreed delivery dates

A request is not automatically included merely because it is related to the original project.

17. Client Responsibilities

Where applicable to a project, clients are responsible for:

  • Providing required content and information
  • Providing accurate project requirements
  • Providing feedback and approvals within reasonable timeframes
  • Ensuring they have rights to materials supplied to NECROS Studio
  • Reviewing deliverables
  • Making payments when due
  • Maintaining appropriate third-party accounts where required
  • Complying with relevant laws relating to their own business and content

Client delays may affect delivery dates.

Specific consequences of client delays or inactivity should be governed by the relevant project agreement.

18. Confidential Information

Confidentiality obligations relating to client projects are governed primarily by applicable project agreements, non-disclosure agreements or other written arrangements.

Information submitted through a public or general contact form should not be considered subject to a confidentiality obligation unless such an obligation has been expressly established.

NECROS Studio will nevertheless seek to handle non-public business information responsibly.

19. Service Information and Accuracy

We aim to keep website information reasonably accurate and current.

However:

  • Services may change
  • Availability may change
  • Pricing may change
  • Website information may contain errors
  • Project requirements may differ from website examples
  • Portfolio examples may not represent the exact results achievable for every project

Website information should therefore not be treated as a guarantee of a particular project outcome.

20. No Guarantee of Specific Business Results

Unless expressly guaranteed in a signed project agreement, NECROS Studio does not guarantee that a service or deliverable will produce a particular:

  • Revenue level
  • Sales result
  • Search-engine ranking
  • Conversion rate
  • Audience size
  • Social-media performance
  • Business result
  • Market response

Results may depend on circumstances outside NECROS Studio's control.

21. Website Availability

The website is provided on an “as available” basis.

We do not guarantee that the website will:

  • Always be available
  • Be uninterrupted
  • Be completely error-free
  • Be compatible with every device or browser
  • Be free from all security threats

We may modify, suspend, maintain or discontinue parts of the website without notice where reasonably necessary.

22. Warranties and Disclaimers

To the maximum extent permitted by applicable law, NECROS Studio disclaims warranties relating to the website that are not expressly provided in writing.

Nothing in these Terms excludes any warranty, guarantee or right that cannot lawfully be excluded.

Project-specific warranties, support obligations and acceptance periods are governed by the applicable project agreement.

23. Limitation of Liability

To the maximum extent permitted by applicable law, NECROS Studio will not be liable in connection with use of the website for indirect, incidental, special, exemplary, punitive or consequential losses, including loss of:

  • Profits
  • Revenue
  • Business opportunities
  • Data
  • Goodwill
  • Use

to the extent such losses may lawfully be excluded.

Liability relating to a client project will be governed by the relevant project agreement where applicable.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

24. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities or expenses arising from:

  • Your unlawful use of the website
  • Your material violation of these Terms
  • Content you submit without sufficient rights or authority
  • Your infringement of third-party rights through misuse of the website

This provision does not apply to the extent a claim is caused by NECROS Studio's own conduct for which liability cannot lawfully be excluded.

25. External Websites

NECROS Studio may provide links to third-party websites or services.

Links are provided for convenience or informational purposes and do not necessarily constitute endorsement.

NECROS Studio does not control and is not responsible for the:

  • Availability
  • Security
  • Accuracy
  • Content
  • Terms
  • Privacy practices

of external services.

26. Force Majeure and Events Outside Reasonable Control

NECROS Studio will not be responsible for delays or failure caused by events reasonably outside its control to the extent permitted by applicable law.

Such events may include:

  • Major infrastructure outages
  • Internet failures
  • Natural disasters
  • Government restrictions
  • War or civil disturbance
  • Widespread cyber incidents
  • Third-party platform outages
  • Other comparable circumstances

Project-specific consequences of such events may be governed by the relevant agreement.

27. Electronic Communications

You agree that communications relating to the website, enquiries or projects may occur electronically.

Electronic communications, approvals, signatures or confirmations may have legal effect where permitted by applicable law and the relevant project agreement.

28. Suspension or Termination of Access

NECROS Studio may restrict, suspend or terminate access to the website where reasonably necessary due to:

  • Security concerns
  • Abuse
  • Unlawful activity
  • Violation of these Terms
  • Technical requirements
  • Protection of NECROS Studio or third parties

29. No Partnership or Agency

Nothing in these website Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or agency relationship between a website visitor and NECROS Studio.

Any such relationship must be expressly established by a separate written agreement.

30. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

31. No Waiver

Failure by NECROS Studio to immediately enforce a provision of these Terms does not automatically constitute a waiver of that provision or any other right.

32. Changes to These Terms

NECROS Studio may update these Terms periodically to reflect:

  • Changes to the website
  • Changes to services
  • Changes to business practices
  • Changes to applicable law
  • Security or operational requirements

The current revision date will be displayed in this document.

Continued use of the website after updated Terms become effective may constitute acceptance where permitted by applicable law.

33. Governing Law

Unless another written agreement expressly provides otherwise, these Terms and your use of the NECROS Studio website are governed by the laws of Sri Lanka, without prejudice to any mandatory rights that may apply under other applicable law.

Any dispute relating specifically to a client project will be governed by the dispute-resolution and governing-law provisions of the applicable project agreement.

34. Dispute Resolution

Where reasonably possible, a party raising a dispute relating to these Terms should first contact NECROS Studio and attempt to resolve the matter in good faith.

Where a dispute cannot be resolved informally, it may be submitted to the courts or other competent dispute-resolution forum having jurisdiction under applicable law.

35. Entire Website Agreement

These Terms, together with the Privacy Policy and any policies expressly incorporated into them, constitute the general agreement governing use of the NECROS Studio website.

They do not replace a signed project-specific agreement.
